Organizational Management and Control Model

CPC Inox S.p.A. has formally established an Organizational Management and Control Model. The Model thus adopted arises from the need, as well as being normative, to successfully deal with the complexity of the situations in which the company finds itself operating, clearly defining the set of values which inspire it and which it wishes to be respected.

ORGANIZATION AND MANAGEMENT MODEL PURSUANT TO THE LEGISLATIVE DECREE. 231/2001

Il D. Lgs. 231/2001 introduced a new form of liability for companies for certain types of crimes committed by their directors and employees, as well as by subjects acting in the name and on behalf of CPC Inox S.p.A.

The Model thus adopted arises from the need, as well as being normative, to successfully deal with the complexity of the situations in which the company finds itself operating, clearly defining the set of values which inspire it and which it wishes to be respected. In no way can the belief of acting for the benefit of the Company justify the adoption of behavior in contrast with these principles.

The CPC Inox S.p.A. Model it is made up of a “General Part” and a “Special Part” which defines the different types of crimes and offenses to be prevented.
The company has also appointed a Supervisory Body with the task of constantly monitoring compliance with the Code of Ethics and the Model by all recipients and the implementation of the provisions contained therein.

CODE OF ETHICS

The Code of Ethics represents, for all those who operate with and within CPC Inox S.p.A., the instrument through which the Company explains its values and principles of conduct.

All those who have business relationships with, in the name and on behalf of CPC Inox S.p.A. are required to contribute to its implementation and the dissemination of the principles formalized in it, so that all relationships with external bodies can be conducted on the basis of the most absolute correctness, in full observance of the rights of others, in compliance with the laws in force and the principles of membership of the company.

At the basis of the Code of Ethics there is a long-term commitment, which complements and underpins the strategy and economic objectives of industrial development of CPC Inox S.p.A.

REPORTS TO THE SURVEILLANCE BOARD

CPC Inox S.p.A. has adopted a management procedure for reports received from the Company’s Supervisory Body, in which suitable information channels have been established to allow the communication of reports on possible violations of the Code of Ethics and the Organization and Management Model.

These communications and reports are managed by the Supervisory Body, made up of internal and external subjects of the Company. Employees, customers and external parties can send, with the maximum guarantee of confidentiality, detailed reports of illicit phenomena and suspicious behaviour, of irregularities in the management of the company, of acts or facts which may constitute a violation of the internal and external regulations which govern the activity of CPC Inox S.p.A., the principles and rules of conduct contained in the Code of Ethics and the provisions of Model 231.

The personal data acquired within the reports are processed in full compliance with current privacy legislation (Legislative Decree 20 June 2003, no. 196, as amended by Legislative Decree no. 101/2018, and EU Reg. 2016/ 679), with particular regard to the identity of the reporter. With the exception of cases in which liability for slander and/or defamation is configurable, pursuant to the provisions of the penal code or art. 2043 of the civil code, and in cases in which anonymity is not enforceable by law (e.g. criminal, tax or administrative investigations, inspections of supervisory bodies), the identity of the reporter is protected in every context following the report.

Therefore, without prejudice to the exceptions above, the identity of the whistleblower cannot be revealed without his express consent and all staff, in any capacity involved in the management of a report, are required to maintain maximum confidentiality, in compliance with the current legislation on privacy, considering all information as “sensitive”.
